1. Acceptance of These Terms

These Terms of Service (the “Terms”) govern your access to and use of this website and any communications you receive from Genesis, Genesis Global and its affiliates (collectively, “Genesis,” “we,” “us,” or “our”), including telephone calls, email, and text messages.

By accessing this website, submitting information through it, or communicating with us, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use this website and do not submit information to us.

We may modify these Terms at any time. The “Last updated” date above reflects the most recent revision. Continued use of the website after changes are posted constitutes acceptance of the revised Terms.

2. About Genesis and Description of Services

Genesis is a privately capitalized, principal-led real estate credit and investment firm. Our activities include:

• Real estate credit and investment — originating and holding credit positions and investments in commercial real estate, with a focus on complex and transitional opportunities.
• Direct property acquisition — acquiring industrial outdoor storage and related commercial real estate directly from owners, as a principal purchasing for our own account.

We act as a principal in our transactions. We are not a real estate brokerage, we do not represent buyers or sellers in agency capacity, and we do not charge commissions or fees to property owners who contact us.

This website is informational. Nothing on it constitutes an offer to buy or sell real estate, an offer or commitment to lend, an offer to sell or a solicitation of an offer to buy any security, investment advice, legal advice, tax advice, or an appraisal or valuation of any property.

3. No Offer, No Advice, No Agency Relationship

Any indication of interest, preliminary number, or discussion of terms — whether communicated by phone, text, email, or through this website — is non-binding, is provided for discussion purposes only, and does not create any obligation on the part of Genesis. No transaction is binding unless and until documented in a definitive written agreement executed by authorized representatives of all parties.

Contacting us, submitting a form, or exchanging messages with us does not create a broker-client, agency, fiduciary, advisory, or lending relationship between you and Genesis.

You should consult your own attorney, accountant, tax advisor, and any other professional advisor before entering into any real estate or financing transaction.

4. Property Inquiries and Information You Submit

You may submit information to us about a property you own or control. By doing so, you represent that:

• The information you provide is accurate to the best of your knowledge;
• You are at least 18 years of age;
• You own the property, control it, or are otherwise authorized to discuss it with us; and
• Any telephone number you provide is a number you own or are authorized to provide consent for.

You are responsible for the accuracy of what you submit. We may retain, evaluate, and act on information you provide in accordance with our Privacy Policy. We are under no obligation to make an offer, respond within any particular timeframe, or pursue any property.

Do not submit confidential, proprietary, or sensitive personal information through this website beyond what is requested. Do not submit financial account numbers, government identification numbers, or health information.

5. SMS Terms and Conditions

This section governs text messages sent by or on behalf of Genesis, Genesis Global. It applies in addition to the rest of these Terms.

5.1 Program Description

Genesis, Genesis Global operates a conversational text messaging program used to communicate with property owners, prospective counterparties, and individuals who have inquired about our services. Messages may include:

• Introductions and inquiries regarding potential acquisition of a property;
• Responses to questions you have asked us;
• Follow-up to a prior telephone conversation or voicemail;
• Scheduling and coordination of calls or site visits; and
• Transaction-related updates for parties actively engaged with us.

This is a conversational, person-to-person style program. It is not a promotional broadcast or marketing blast program, and we do not send recurring marketing campaigns to individuals who have not engaged with us.

5.2 How Consent Is Obtained

We obtain consent to send text messages in the following ways:

1. Website form. By completing the contact form on this website and affirmatively checking the box consenting to receive text messages. That box is unchecked by default and is never required in order to submit the form.
2. Verbal consent during a call. By providing your mobile number during a telephone conversation with a representative of Genesis and agreeing to be contacted by text. The representative records the date, time, and substance of that consent.
3. Existing business relationship. By providing your mobile number to us in the course of an active or prospective transaction and agreeing to be contacted at that number.

We do not purchase, rent, or otherwise acquire mobile opt-in lists from third parties, and we do not sell, rent, or share text messaging opt-in data or consent with any third party.

5.3 Message Frequency

Message frequency varies and depends on your interaction with us. This is a conversational program, so the number of messages you receive depends on whether and how you respond.

5.4 Cost

Message and data rates may apply. Genesis does not charge you for text messages, but your mobile carrier's standard messaging and data rates apply to messages you send and receive. Contact your carrier for details of your plan.

5.5 Opting Out

You may opt out at any time by replying STOP to any message from us. You may also reply END, CANCEL, UNSUBSCRIBE, or QUIT.

After you opt out, we will send one confirmation message acknowledging your request, and you will receive no further text messages from us at that number. Opt-out requests are honored immediately and are applied across all of our messaging programs and lists, not just the conversation in which you replied.

If you wish to resume receiving messages after opting out, you must provide consent again.

5.6 Getting Help

5.7 Sending Hours

We send text messages only between 8:00 AM and 9:00 PM in the recipient's local time zone, and we do not send messages on days where doing so is restricted by applicable state law.

5.8 Consent Is Not a Condition

Consent to receive text messages is not a condition of any purchase, sale, service, or transaction with Genesis. You may do business with us without agreeing to receive text messages.

5.9 Carriers and Delivery

Mobile carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your carrier and is outside of our control. Supported carriers may change without notice.

5.10 Your Mobile Number

You must be at least 18 years old and be the owner or authorized user of the mobile number you provide. If you change or relinquish your mobile number, you agree to notify us promptly at Apryor@genesisllc.com so that we do not send messages to a number that has been reassigned to someone else.

5.11 Privacy

Information collected through our messaging program is handled in accordance with our Privacy Policy. No mobile information will be sold or shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties.

6. Telephone Calls

We may contact you by telephone at numbers you provide or that are lawfully obtained from public records and licensed data providers, consistent with applicable law. You may ask to be placed on our internal do-not-call list at any time by telling any representative, by emailing Apryor@genesisllc.com, or by calling 850-585-9271. We honor such requests promptly and maintain them indefinitely.

Calls may be monitored or recorded for quality and training purposes where permitted by law. Where the law of your jurisdiction requires it, you will be notified at the outset of the call.

7. Acceptable Use

You agree not to:

• Use this website for any unlawful purpose or in violation of these Terms;
• Submit false, misleading, or fraudulent information;
• Submit information about a property you have no ownership interest in or authority over;
• Attempt to gain unauthorized access to any portion of the website or its systems;
• Use any automated means to access, scrape, or harvest content from the website; or
• Interfere with or disrupt the operation of the website.

8. Intellectual Property

The website and its contents — including text, graphics, logos, and design — are owned by Genesis, Genesis Global or its licensors and are protected by intellectual property laws. You may view and print pages for your own non-commercial reference. You may not otherwise reproduce, distribute, modify, or create derivative works from the website without our prior written consent.

9. Third-Party Links

The website may contain links to third-party sites. We do not control those sites and are not responsible for their content, accuracy, or privacy practices. Links are provided for convenience only and do not constitute endorsement.

10. Disclaimers

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENESIS AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THIS WEBSITE OR ANY COMMUNICATIONS WITH US, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
